Repair Service Terms

These Repair Service Terms (the Terms) apply to inspection, evaluation, and repair work accepted by MEDXSURGE (MEDXSURGE, we, us). They apply to customers that send equipment directly to MEDXSURGE and, where applicable, repair partners that engage MEDXSURGE for a specifically accepted scope of work.
An applicable signed agreement, accepted quote, or written partner addendum controls if it conflicts with these Terms.
1. Scope of Work and Authorization
MEDXSURGE performs only the repair or specialist work described in the applicable written quote, work order, or other documented acceptance. An authorized customer contact may approve work through a signed or accepted quote, clear email approval, or portal approval. A purchase order is not required unless MEDXSURGE and the customer agree otherwise in writing.
The customer represents that it has authority to send the instrument to MEDXSURGE and to authorize the requested work.
2. Evaluation, Quotes, and Additional Findings
An evaluation is based on the condition reasonably observable at the time of evaluation. Disassembly or further inspection may reveal hidden damage, additional failures, or other conditions not reasonably identifiable at first review.
If additional findings materially change the approved scope, price, timing, or repair recommendation, MEDXSURGE will stop before performing work outside the approved scope and issue a revised quote or authorization request. No additional work will proceed without documented approval.
Unless MEDXSURGE states otherwise in writing, a quote is valid for 30 days. After that period, MEDXSURGE may re-evaluate the instrument and issue updated scope, pricing, timing, or terms.
3. Cleaning, Decontamination, and Incoming Condition
Before shipment or delivery, the customer must ensure that each instrument is appropriately cleaned and decontaminated and must disclose relevant condition, exposure, or handling information. The customer remains responsible for complying with its applicable reprocessing, handling, and safety obligations.
If an instrument appears unsafe or inadequately prepared, MEDXSURGE may delay handling, decline service, return the instrument, or require appropriate remediation before proceeding.
4. Shipping, Packaging, and Return
Unless the applicable quote states otherwise, the customer arranges and pays for inbound shipping to MEDXSURGE. The applicable quote, customer agreement, or written shipping instruction states the outbound carrier, insurance, return method, and related charges. MEDXSURGE may arrange and bill for return shipping, use a customer carrier account, or permit customer-arranged return when agreed in writing.
The customer is responsible for packaging equipment safely for transit. Shipping arrangements and responsibility for loss or damage in transit are subject to the applicable quote, carrier terms, and applicable law.
5. Unrepairable, Declined, or Unclaimed Instruments
If no repair is approved, a repair cannot be performed, or a revised quote is declined, MEDXSURGE will provide written notice and request return instructions. Unless the applicable quote states otherwise, the customer is responsible for return shipping costs.
MEDXSURGE will hold an unclaimed instrument for up to one year after notice and will make reasonable documented attempts to contact the customer using the available contact information. MEDXSURGE does not charge a standard evaluation or storage fee unless that charge was disclosed in the applicable quote or accepted agreement.
After the one-year holding period, MEDXSURGE may take further action concerning an unclaimed instrument only as permitted by applicable law. These Terms do not automatically transfer ownership of an instrument to MEDXSURGE.
6. Payment
Payment terms are stated in the applicable quote, customer agreement, or invoice. Unless MEDXSURGE agrees otherwise in writing, payment is due before return shipment.
Any credit terms, including Net 30 or Net 60 terms, are discretionary, must be agreed in writing, and may be changed by MEDXSURGE for future work. Existing written payment arrangements remain in effect according to their terms.
7. Turnaround Estimates
Any turnaround estimate is an estimate, not a guarantee. Timing begins only after MEDXSURGE receives the required information, authorization, and any applicable payment or credit approval.
Hidden damage, parts availability, shipping, customer delays, workload or capacity, and circumstances outside MEDXSURGE's reasonable control may change timing. MEDXSURGE will communicate a material delay when reasonably practical.
8. Completion Documentation and Customer Responsibilities
When reasonably available, MEDXSURGE will provide a completion record identifying the instrument by manufacturer, model, and serial number; the approved repair scope; completion date; and the inspection or verification actually performed.
The completion record is not a regulatory certificate or a blanket statement that an instrument is fit for every clinical use. The customer remains responsible for receiving inspection, reprocessing, device tracking, and determining fitness for its intended use.
9. Limited Repair Warranty
MEDXSURGE provides a limited 90-day warranty from shipment for a confirmed defect in the same MEDXSURGE repair. A warranty return is evaluated; a return within the warranty period is not automatically covered.
If MEDXSURGE confirms that a covered repair defect resulted from its workmanship, repair performance, or a defect it should have identified before return, MEDXSURGE's remedy is to correct that covered repair at no charge, including necessary parts, labor, and reasonable two-way shipping.
This limited warranty does not cover new damage, mishandling, improper cleaning or reprocessing, unauthorized work, unrelated failures, or conditions outside the accepted repair scope. If a return is not covered, MEDXSURGE will provide a new quote before performing additional work. This warranty does not promise replacement equipment or a broader warranty for the instrument as a whole.
10. Confidentiality and Records
MEDXSURGE uses and discloses customer information only as reasonably necessary to evaluate, repair, document, invoice, ship, support warranty work, and comply with law. MEDXSURGE will not publicly disclose a customer's identity, instrument details, or repair information without permission, except as required by law.
MEDXSURGE may retain operational and repair records for legitimate business, quality, warranty, and legal purposes.
11. Independent Repair Provider and Manufacturer References
MEDXSURGE is an independent repair provider. Manufacturer names, model numbers, and product-family names may be used only to identify equipment that MEDXSURGE evaluates or services. Those names and marks belong to their respective owners. MEDXSURGE does not represent that it is OEM-authorized, manufacturer-affiliated, or approved unless it states a specific, verifiable relationship in writing.
12. Limits of Liability and Dispute Resolution
Before either party files a claim arising from a repair, that party must give written notice describing the issue and allow 30 days for a good-faith effort to resolve it.
To the extent permitted by applicable law, MEDXSURGE's total liability arising from a particular repair is limited to the amount paid for that repair. MEDXSURGE is not liable for indirect, incidental, special, consequential, lost-profit, lost-procedure, or substitute-equipment damages.
Nothing in these Terms limits liability that cannot be limited under applicable law.
13. Governing Law and Venue
These Terms are governed by Florida law, without regard to conflict-of-law rules. Subject to applicable law, a dispute will be brought in the state or federal courts located in the county of MEDXSURGE's principal business location.
14. Updates, Notices, and Contact
These Terms apply to work accepted after the Last updated date above. For work already accepted, the quote or agreement in effect when that work was authorized controls unless both sides agree otherwise in writing.
